PropertyNetAsia.com.my was envisioned by our managing director, Tan Sri Francis Yeoh in his may 8, 2000 speech when he outlined YTL Group of Companies internet strategy launch. As part of the drive for efficiency and provide a medium for e-commerce transaction of YTL property development portfolio totaling MR 7-8 billion, an agreement was reached with Panpac Media.com Ltd to form a joint venture company to develop the premier property portal to serve the needs of real estate industry in Asia-Pacific region in general and Malaysia in Particular.

The new joint venture company called Grierson Pte.Ltd. Was formed to acquire the intellectual property rights to the portal www.PropertynetAsia.com, which was conceptualized and incubated by Panpac Media.com in collaboration with Marcom Real Estate Services Pte Ltd (“Marcom”). YTL e-Solution (m) Sdn Bhd. Which holds 60% of the Malaysian joint venture company( the other 40% is held by Grierson) is leading this effort to develop the Malaysian property portal PropertyNetAsia.com.my with consultancy services provided by Grierson led by Mr. Lim Song Hai and Mr. Yip Kam Thai, CEO and COO of Grierson respectively, with more than 12 years of combined experience in regional property markets.

PropertyNetAsia.com.my is owned by YTL e-Solution (60%) and Grierson(40%) and is incorporated on May,2001 under the companies Act 1965. its present authorized and paid up capital is RM 3,200,000 divided into 3,200,000 shares of RM1.00 each.

The Malaysian joint venture company has acquired from Grierson the exclusive right to operate and own the property portal PropertyNetAsia.com.my for a total consideration of RM880, 000. Grierson will subscribe to 1,280,000 ordinary shares or 40% equity interest by setting off the Rm880, 000 sale consideration for 880,000 ordinary shares and the remaining RM400, 000 in cash. YTL e-Solutions will subscribe to 1,920,000 ordinary shares or 60% equity interest of which 1,320,000 shares will be satisfied and set- off by infrastructure support and services totaling RM 1,320,000 to the Malaysian Joint Venture Company and RM 600,000 cash for the remaining 600,000 shares.

YTL e-Solutions (60% shareholder) were incorporated on 14th March 1992 under the Companies Act 1965. Its present authorized share capital is RM 100,000,000 comprising 100,000,000 ordinary shares of RM 1.00, each which has been fully issued and paid up.

The company’s principle activity is the acquisition of or investment in high technology e-commerce or Internet related companies and provision of IT and web hosting services. It is wholly owned by YTL Corporation, a public company listed on the Kuala Lumpur Stock Exchange as an investment holding company.

Grierson Pte Ltd (40% shareholder) was incorporate on 10 April 2000 in Singapore as a private limited company and is a wholly owned subsidiary of Panpac Media .com Limited. Its present authorized share capital is S$1,000,000 divided into 1,000,000 shares of S$1.00 each of which S$150,000 in cash for 150,000 shares (representing 15% shareholding) has been fully subscribed by YTL e-Solutions and 850,000 shares (representing 85% shareholding) allotted to Panpac in consideration for injecting the property portal asset www.PropertyNetAsia.com into the company
